1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TolLin Holdings LLC ("Company," "we," "us," or "our"). By accessing or using our website at tollinholdings.com and any software platforms or services we provide (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Description of Services

TolLin Holdings LLC provides software management and services to the legal and real estate rental industries. Our platforms include tools for mass tort litigation management and residential rental property management in California. Specific features and functionality are described within each platform and may be subject to additional terms.

3. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. User Accounts

Some of our Services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Upload or transmit viruses, malware, or other harmful code
  • Use the Services to collect, store, or process personal information in violation of applicable privacy laws
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to send unsolicited commercial communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Intellectual Property

All content, features, and functionality of our Services — including but not limited to software, text, graphics, logos, icons, and designs — are the exclusive property of TolLin Holdings LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without our prior written consent.

7. Client Data

You retain all ownership rights to the data you submit through our platforms ("Client Data"). You grant us a limited, non-exclusive license to use, process, and store Client Data solely as necessary to provide the Services. We will not access, use, or disclose Client Data except as required to operate the Services, comply with law, or as otherwise described in our Privacy Policy.

8. Third-Party Services

Our Services may integrate with or contain links to third-party services (e.g., payment processors, communication providers, document signing services). We are not responsible for the content, terms, or practices of any third-party service. Your use of third-party services is subject to their respective terms and policies.

9. SMS/MMS Communications

Certain features of our platforms may involve SMS/MMS messaging. By opting in to receive text messages, you agree to the messaging terms described in our Privacy Policy, including message frequency, opt-out instructions, and carrier disclaimers. Message and data rates may apply. Consent to receive messages is not a condition of purchasing any goods or services.

10. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees associated with your chosen plan. Fees are non-refundable except as required by law or as expressly stated in a separate agreement. We reserve the right to change pricing with reasonable notice.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Our platforms are software tools and do not constitute legal advice, property management advice, or any other professional advice. Users are responsible for their own compliance with applicable laws and regulations.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOLLIN HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless TolLin Holdings LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Diego County, California.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and TolLin Holdings LLC regarding the Services and supersede all prior agreements and understandings.
